Terms of Service for Event Organizers

Plain English Summary

Wayvr provides software for electronic waivers, registrations, payments, signatures, and event check-ins.

Wayvr is not an event organizer, venue operator, activity provider, insurer, safety inspector, payment processor, or law firm.

Organizers are responsible for:

  • Event safety and operation
  • Waiver content and legal sufficiency
  • Privacy compliance
  • Regulatory compliance
  • Record retention
  • Their relationship with their payment processor, including refunds and chargebacks

Wayvr is not a permanent records archive. Free plans retain event data up to 30 days after an event ends. Paid plans retain event data up to 1 year after an event ends. Export anything you need to keep.

1. Parties

These Terms govern use of the Wayvr platform operated by R. Coleman ("Wayvr"). The organization creating an account ("Organizer") agrees to these Terms. The individual accepting these Terms represents that they have authority to bind the Organizer.

2. Platform Role

Wayvr provides software services only. Wayvr does not organize, supervise, inspect, control, or guarantee the safety, legality, or operation of any event. Wayvr is not a party to any agreement between an Organizer and event participants.

Wayvr is not a law firm and does not provide legal advice. Any templates, examples, or guidance are informational only. Organizers are responsible for obtaining independent legal advice where appropriate.

5. Electronic Signatures

Wayvr may facilitate electronic signatures where permitted by law. Wayvr does not guarantee enforceability in any jurisdiction. Organizers are responsible for determining legal sufficiency and obtaining required consents.

Wayvr may record audit trail information including timestamps, signer name, email address, event identifiers, waiver version, device information, browser information, IP address, and related authentication metadata. Audit trail information is provided as-is and is not a guarantee of signer identity or signature validity.

6. Payments

Payments are processed by third-party payment processors selected and connected by the Organizer. The Organizer's relationship with its payment processor is governed by that processor's own terms, and the Organizer is responsible for maintaining its processor account in good standing.

Wayvr is not a payment processor, money services business, or money transmitter, and does not hold, transmit, or take custody of participant funds. Wayvr does not store full payment card numbers; payment details are handled by the applicable processor.

Organizers are solely responsible for refunds, chargebacks, disputes, processor fees, and the collection and remittance of any applicable taxes.

7. Privacy and Data Processing

Organizers generally act as controllers (or equivalent role). Wayvr generally acts as a processor, service provider, or similar role depending on applicable law.

In that role, Wayvr will process participant information on behalf of Organizers as needed to provide the Platform and will provide reasonable assistance with data subject requests directed to the Organizer.

These Terms are not intended to constitute, and should not be relied on as, a complete data processing agreement under the EU or UK GDPR (including Article 28) or similar laws. Organizers subject to such laws are responsible for determining whether additional contractual terms are required before using the Platform.

8. Data Retention and Records

Wayvr is not a permanent archive.

Organizers are solely responsible for retaining records required for legal, insurance, or operational purposes, and for exporting records before they are deleted.

Retention periods:

Wayvr may permanently delete records after applicable retention periods, on account termination, or on discontinuation of the Platform, and is not responsible for the consequences of such deletion.

9. Intellectual Property

Wayvr retains all ownership rights in the Platform, software, branding, and related intellectual property. No ownership rights are transferred to Organizers.

Organizers receive a limited, non-exclusive, non-transferable, revocable license to use the Platform in accordance with these Terms.

Organizers retain ownership of content they create and grant Wayvr a license to host, store, process, reproduce, and transmit such content solely to provide the Platform.

10. Acceptable Use

Users may not use the Platform for unlawful activities, fraud, unauthorized access, malicious code, harassment, circumvention of security measures, or violations of applicable laws.

11. Warranty Disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WAYVR DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, UNINTERRUPTED AVAILABILITY, AND ERROR-FREE OPERATION.

12. Limitation of Liability

To the maximum extent permitted by law, Wayvr shall not be liable for participant injuries, event safety issues, waiver enforceability, organizer misconduct, privacy violations by organizers, acts or omissions of payment processors or other third-party services, loss of data following expiry of retention periods or account termination, or any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.

Wayvr's aggregate liability shall not exceed fees paid by the Organizer during the 12 months preceding the claim.

13. Indemnification

Organizers agree to defend, indemnify, and hold harmless Wayvr from claims, losses, and expenses (including reasonable legal fees) arising from events, organizer conduct, waiver content, privacy complaints, regulatory investigations, administrative proceedings, fines, penalties, enforcement actions, and violations of law.

14. Force Majeure

Wayvr shall not be liable for failures caused by events beyond reasonable control including internet outages, cloud provider failures, cyber incidents, utility outages, government actions, labor disputes, or natural disasters.

15. International Data Transfers

The Platform is hosted in the United States. Organizers are responsible for determining whether use of the Platform is lawful for their participants and for providing any required notices, disclosures, or transfer mechanisms.

16. Suspension and Termination

Wayvr may suspend or terminate accounts for violations of these Terms, security concerns, legal risk, or non-payment. Where reasonably practicable, Wayvr will provide an opportunity to export records before account data is deleted, but Organizers should not rely on post-termination access.

17. Changes to These Terms

Wayvr may update these Terms from time to time. Material changes will be communicated through the Platform or by email. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law

Ontario, Canada.

19. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. Organizers may not assign these Terms without Wayvr's consent; Wayvr may assign these Terms in connection with a merger, acquisition, or sale of assets.

20. Survival

Intellectual property, indemnification, limitation of liability, privacy obligations, payment obligations, and governing law provisions survive termination.

21. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Platform and supersede prior agreements on the same subject.
